Dear shareholders,

As part of Virtune’s continued growth journey, the company has initiated a project to strengthen its financial structure and ensure readiness for future strategic options.

In this process, the Board proposes the repayment of the outstanding conditional shareholder contributions of SEK 4,079,500 through a directed dividend. These contributions were instrumental in Virtune’s early development, enabling the company to secure its base prospectus, stock exchange approvals, and enter the commercial phase.

With Virtune now operating with positive results and cash flow, this repayment will simplify and clarify the company’s capital structure, aligning with best practices for a growing public company.

As the company reduced its share capital during the EGM of 2024, statutory procedures under the Swedish Companies Act apply for dividends within the following three years. A creditor notice has been published with a deadline on December 28th, 2025. Accordingly, an EGM is planned for Monday, December 29th, 2025, to be held per capsulam (where everyone can vote through e-signing)

At this per capsulam meeting, the Board will also propose a minor update to the Articles of Association to better reflect Virtune’s current and future business activities related to being able to offer products including other asset types (§3 in the articles of association).
